These Terms & Conditions (“Terms”) govern all sales, quotations, purchases, and use of products and services provided by SYM Renewables Inc. (“SYM Renewables,” “we,” “us,” or “our”). By purchasing from or working with SYM Renewables, the customer (“Customer,” “Client,” “you”) agrees to these Terms.
1. Definitions
- “Products” refer to solar photovoltaic modules, mounting systems, energy-storage equipment, accessories, and any renewable-energy products supplied by SYM Renewables.
- “Services” refer to consulting, logistics arrangement, system design support, documentation, or related work performed by SYM Renewables.
- “PO” or “Purchase Order” refers to an order submitted by the Customer to SYM Renewables.
- “Agreement” refers to the legally binding contract formed between the Customer and SYM Renewables based on the quotation, invoice, PO, and these Terms.
2. Quotations & Pricing
2.1 All prices are in CAD or USD, as specified, and are subject to change without notice unless otherwise stated in writing.
2.2 Quotations are valid for 7–15 days, unless a different validity period is stated.
2.3 Pricing excludes taxes, duties, shipping, warehousing, and insurance unless expressly listed.
2.4 SYM Renewables may adjust pricing in response to currency fluctuations, tariff changes, or supplier pricing changes.
3. Orders & Acceptance
3.1 A PO is binding only upon written confirmation from SYM Renewables.
3.2 SYM Renewables reserves the right to accept or reject any order.
3.3 Product availability is based on current stock and supplier capacity and may change at any time.
3.4 Any changes requested by the Customer must be approved in writing and may result in additional cost.
4. Payment Terms
4.1 Standard terms:
- 100% upfront for in-stock items
- 30% deposit + 70% before shipment for pre-orders

4.2 Late payments may be subject to interest of 2% per month or the maximum allowed by law.
4.3 SYM Renewables reserves the right to delay shipment until payments are fully settled.
4.4 Payments are not considered received until funds clear into SYM Renewables’ designated account.
5. Delivery, Shipping & Risk of Loss
5.1 Delivery terms follow Incoterms® 2020, typically:
- EXW Calgary Warehouse (default for in-stock goods)
- FOB / CIF for international shipments arranged through Elite Solar or other suppliers
5.2 Risk of loss transfers to the Customer upon:
- Pickup from warehouse, or
- Delivery to the carrier, depending on the Incoterm
5.3 SYM Renewables is not responsible for delays caused by carriers, customs, weather, or force-majeure events.
5.4 The Customer must inspect products immediately upon delivery and notify SYM Renewables of any visible damage within 48 hours.
6. Storage & Warehousing
6.1 For Customer-arranged pickups, storage beyond 7 days after readiness may incur storage fees.
6.2 Products not picked up within 30 days may be treated as abandoned, and deposits may be forfeited.
7. Warranty
7.1 SYM Renewables supplies products from manufacturers (e.g., Elite Solar). Manufacturer warranties apply directly, including:
- 12-year to 25-year product warranty
- 25–30-year linear power output warranty
7.2 Warranty claims must follow the manufacturer’s official procedure.
7.3 SYM Renewables can assist in coordinating warranty submissions but is not liable for manufacturer decisions or timelines.
7.4 Warranty excludes:
- Improper installation
- Damage from mishandling, impact, or neglect
- Unauthorized modification
- Environmental events (hailstorm beyond test rating, lightning, flood)
8. Returns & Cancellation
8.1 All sales are final unless SYM Renewables approves otherwise.
8.2 Cancellations after PO acceptance may incur:
- Up to 30% cancellation fee for stock items
- Up to 100% for custom or in-production orders
8.3 Returned items must be unopened and in original condition.
8.4 Customer bears return freight and inspection fees.
9. Compliance & Certifications
9.1 SYM Renewables supplies CSA/UL/IEC-certified products where applicable.
9.2 It is the Customer’s responsibility to confirm local electrical-code compliance (e.g., Alberta, Ontario, BC).
9.3 SYM Renewables is not responsible for permitting, engineering stamps, or utility compliance unless expressly included in writing.
10. Limitation of Liability
10.1 To the maximum extent permitted by law, SYM Renewables is not liable for:
- Indirect, incidental, punitive, or consequential damages
- Loss of profit, downtime, or installation cost
- Project delays or losses caused by third-party carriers or installers
10.2 SYM Renewables’ total liability is limited to the amount paid for the specific Products in dispute.
11. Force Majeure
SYM Renewables is not liable for delays or non-performance caused by circumstances beyond its control, including but not limited to:
- Natural disasters
- Supply-chain disruptions
- Port congestion
- Pandemics
- Government actions
- Tariff changes
- Labour strikes
12. Intellectual Property
12.1 All proprietary materials—logos, designs, technical sheets, images—remain property of SYM Renewables or its suppliers.
12.2 Customer may not replicate or distribute proprietary documents without permission.
13. Confidentiality
Any commercial pricing, documentation, or strategic information shared between SYM Renewables and the Customer must be treated as confidential and not disclosed to third parties.
14. Governing Law
These Terms are governed by the laws of:
- Province of Alberta, and
- Federal laws of Canada
Any disputes shall be resolved in Alberta courts, unless mutually agreed to arbitration.
15. Changes to Terms
SYM Renewables may update these Terms at any time. Updated Terms apply to all future transactions and will be posted on our website.
